Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of MAIE — Medical Automation Intelligent Engine — including the web application, mobile applications, APIs, and any related services (collectively, the "Service") operated by MAIE ("MAIE", "we", "us", or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility and Account Registration

You must be at least 18 years old and legally able to enter into a binding contract to use the Service. If you are using the Service on behalf of a clinic, hospital, or other organization (an "Organization"), you represent that you have authority to bind that Organization to these Terms.

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized access.

3. Description of the Service

MAIE provides clinical-workflow software that includes voice capture, automated transcription, AI-assisted SOAP note drafting, scheduling, patient management, and related tools. The Service is intended to assist licensed healthcare professionals in administrative documentation and workflow.

The Service is not a medical device. It does not provide medical advice, diagnosis, or treatment. Clinicians remain solely responsible for clinical decisions and for reviewing, verifying, and signing all generated content before it is used in patient care.

4. Acceptable Use

You agree not to:

  • Use the Service in violation of any applicable law or regulation, including laws governing the practice of medicine, patient privacy, or data protection.
  • Upload content you do not have the right to share, or that infringes the rights of any third party.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law.
  • Interfere with or disrupt the Service, including by introducing malware or attempting to bypass rate limits or security controls.
  • Use the Service to build a competing product or to train third-party AI models on data extracted from the Service.

5. Customer Data and Patient Information

As between you and MAIE, you and your Organization retain all rights, title, and interest in any data you submit to the Service, including transcripts, notes, and patient records ("Customer Data").

You grant MAIE a limited license to host, process, and transmit Customer Data solely as needed to provide and improve the Service for you. Where MAIE processes protected health information on your behalf, the parties' Business Associate Agreement (or equivalent data processing agreement) governs that processing.

You are responsible for obtaining all required consents from patients and other data subjects before submitting their information to the Service, including any consents required for audio recording and retention.

6. Subscriptions, Billing, and Cancellation

Paid plans are billed in advance on a recurring basis (monthly or annual) at the rates shown at checkout. Fees are non-refundable except where required by law. You may cancel your subscription at any time; cancellation takes effect at the end of your current billing period.

We may change pricing or plan terms with at least 30 days' notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new terms.

7. Intellectual Property

The Service, including all software, designs, text, graphics, and trademarks, is owned by MAIE or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

8. Third-Party Services

The Service may integrate with third-party services (for example, payment processors, identity providers, and cloud infrastructure providers). Your use of those services is governed by their respective terms, and we are not responsible for their content or practices.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated output will be accurate, complete, or suitable for any clinical purpose.

10. Limitation of Liability

To the maximum extent permitted by law, MAIE and its affiliates will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Service. Our aggregate liability arising out of or related to the Service will not exceed the fees you paid to MAIE in the twelve months preceding the event giving rise to the liability.

11. Indemnification

You will defend, indemnify, and hold harmless MAIE from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your Customer Data, or your breach of these Terms.

12. Termination

We may suspend or terminate your access to the Service if you materially breach these Terms or use the Service in a way that creates legal or operational risk. On termination, your right to use the Service ends immediately. We will, at your written request submitted within 30 days of termination, make Customer Data available for export in a machine-readable format.

13. Governing Law and Disputes

These Terms are governed by the laws of the Arab Republic of Egypt, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved in the competent courts of Cairo, Egypt, except where applicable law requires otherwise.

14. Changes to These Terms

We may update these Terms from time to time. If a change is material, we will provide reasonable advance notice (for example, by email or in-app notice) before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
